Rules and regulations for the General Meeting of Shareholders
The annual General Meeting of Shareholders takes place no later than June each year after the close of the financial year. Shareholders discuss the annual report, adopt the annual accounts, release the Executive and Supervisory Board members from liability and discuss reserve and dividend policy and the distribution of the dividend. The meeting must be held in the Amsterdam municipal area. Extraordinary General Meetings are convened as often as the Executive Board or Supervisory Board deem necessary without prejudice to Articles 2:111 and 2:112 of the Dutch Civil Code.
The annual General Meeting and Extraordinary General Meetings are called by the Supervisory Board or Executive Board, which notifies shareholders and the holders of depositary receipts. By law, convening notices must be published at least 42 days before the meeting.
